These Terms of Service ("Terms") govern your access to and use of the Filmion platform, including the filmion.ai website, mobile or desktop applications, application programming interfaces, and related services (collectively, the "Service"). The Service is operated by Tiago Rena, doing business as Filmion.ai (a sole proprietorship in Boca Raton, Florida, USA) ("Filmion", "we", "us", or "our"). By creating an account, accessing the Service, or clicking to accept these Terms, you ("User", "you", or "your") agree to be bound by them.

If you do not agree to these Terms, do not access or use the Service.

1. Eligibility

1.1 Minimum age. You must be at least eighteen (18) years old to create an account or use the Service. The Service is not designed for use by minors and we do not knowingly collect information from anyone under 18.

1.2 Authority to bind. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity.

1.3 Geographic eligibility. The Service is provided from the United States. By accessing the Service from outside the United States, you acknowledge that you are responsible for compliance with the laws of your jurisdiction.

2. Account Registration

2.1 Account creation. To use most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration.

2.2 Account security. You are responsible for safeguarding the credentials used to access your account. Notify us immediately at security@filmion.ai of any unauthorized use.

2.3 One account per person. Unless you operate as an enterprise customer with a written agreement, you may not create or maintain multiple accounts.

2.4 Third-party authentication. Account authentication is provided by Supabase Auth. Use of that service is also subject to its respective terms.

3. The plan, your balance, and billing

3.1 One plan. Filmion has one plan: $19.99 a month. It renews monthly until you cancel. It includes the whole studio and 100 GB of storage for what you make. There is no free plan. What each engine costs to run is published at filmion.ai/pricing.

3.2 Your balance is money. Creating something costs what the engine that makes it charges us, passed through at that rate — never more, never marked up. You pay for it from a balance you add money to. The balance is dollars, not points: it never expires, it is spendable only on Filmion, it is non-transferable — it can never be sent to another account or cashed out to anyone but you — and whatever you have not spent comes back to your card when you cancel. You may hold at most $1,000 on your balance at a time; the amount you may add starts lower and rises as payments settle cleanly.

3.3 The price is shown first. Every button that costs money shows its price before you press it. A step that fails is never charged; a build that stops part-way charges only for what was delivered; a retry never charges twice. The Refund and Cancellation Policy spells this out and prevails over this section where the two differ.

3.4 The welcome credit. The $5 welcome on your first subscription is promotional credit, not money you paid. It is spent first, it is not refundable, and it may expire as stated when it is given.

3.5 Billing. The plan is billed in advance each month through Stripe. By subscribing you agree to these Terms and authorise recurring monthly charges to your payment method until you cancel. If a payment fails, creating pauses until it clears; your files and your balance stay.

3.6 Price changes. If the monthly price ever changes, we email you at least thirty (30) days before it takes effect, with the reason, and you may cancel before then with any unspent balance returned.

3.7 Cancellation. You may cancel at any time from Settings — one click, no retention screen in the way — or by emailing billing@filmion.ai. Cancelling takes effect at the end of the month you paid for. The plan itself is not refundable; your unspent balance is returned in full.

3.8 Taxes. Prices do not include applicable taxes, which are calculated at checkout for where you live.

4. Acceptable Use

4.1 Acceptable Use Policy. Your use of the Service is governed by these Terms and by the Filmion Acceptable Use Policy ("AUP") located at filmion.ai/acceptable-use, which is incorporated by reference. By accepting these Terms you also accept the AUP.

4.2 Prohibited content (summary). Filmion operates as a creative tool and does not pre-screen content for taste, opinion, or political viewpoint. The complete list of Filmion-enforced content restrictions is in the AUP §2 (Legal Floor) and is limited to: (a) Child sexual abuse material (CSAM); (b) Non-consensual intimate imagery of identifiable real persons; (c) Genuine threats of real-world violence; (d) Material support for designated foreign terrorist organizations; (e) Financial fraud, identity theft, and scams; (f) Malware, phishing, and computer-crime payloads; (g) Detailed operational instructions for weapons of mass harm.

Anything not in the AUP §2 list above is NOT prohibited by Filmion. Third-party AI engine providers maintain their own content policies that may refuse to generate certain content; when an engine refuses, the engine's verbatim refusal reason is surfaced to you per AUP §3 (it is the engine's policy, not Filmion's).

4.3 Enforcement. We may, without notice, suspend or terminate accounts that we determine in good faith have violated the AUP.

4.4 Reporting violations. To report a violation, email abuse@filmion.ai.

5. User Content

5.1 Definition. "User Content" means any text prompts, reference images, reference videos, audio files, product assets, brand materials, or other content that you upload to or submit through the Service.

5.2 Ownership. You retain ownership of your User Content. These Terms do not transfer ownership of your User Content to Filmion.

5.3 License to operate the Service. You grant Filmion a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, transmit, display, and analyze your User Content solely for the purpose of providing and improving the Service to you.

5.4 Representations and warranties. You represent and warrant that (a) you own all rights to your User Content or have all necessary rights and permissions to grant the license in Section 5.3; (b) your User Content does not violate any third party's intellectual property, privacy, publicity, or other rights; and (c) your User Content complies with the AUP.

5.4.1 Generation-time rights affirmation

Before each generation that uses uploaded User Content as input, you will be presented with a single-checkbox affirmation per AUP §4.1. You cannot proceed with such a generation without checking this box. Filmion does not pre-screen uploaded content for rights clearance — that responsibility is yours per this Section 5.4 and per AUP §4.

5.5 Storage limits and retention. User Content storage is subject to per-tier limits described at filmion.ai/pricing. Uploaded User Content may be automatically deleted after the retention period specified in your tier.

6. AI-Generated Output

6.1 Definition. "Generated Output" means any image, video, audio, text, or other content generated by the Service using AI engines based on your prompts, your User Content, or other inputs you supply.

6.2 Ownership of Generated Output. Subject to your compliance with these Terms, you own the Generated Output produced by the Service in response to your prompts and User Content, to the maximum extent permitted by applicable law. Filmion assigns to you any ownership rights Filmion may hold in such Generated Output.

6.3 AI ownership limitations. You acknowledge that under United States copyright law as currently interpreted by the U.S. Copyright Office, purely AI-generated content may not be eligible for copyright protection in the United States, and similar limitations may apply in other jurisdictions. Filmion does not represent or warrant that Generated Output is eligible for copyright or other intellectual property protection.

6.4 Library Compounding — reference lane (IMPORTANT — please read carefully)

The Service operates a shared library called Library Compounding. By using the Service you acknowledge and agree that:

Generated Output you produce that meets Filmion's reusability criteria (described below) MAY be stored in the Filmion shared library and subsequently used as a starting reference for AI generations requested by other users;
Reusability criteria. An output is eligible for the shared library only when ALL of the following are true:
1. the generation did not use User Content you uploaded as a direct input;
2. the generation's prompt does not contain proper nouns suggesting brand-specific or person-specific content;
3. the Service's automated classifier confirms the output does not depict a recognizable face, a trademarked brand mark, or any personally-identifiable content;
When an output is used as a library reference, the other user receives a NEW generation made with your output as a creative starting point. They do not receive your file. Shared Shots under Section 6.4A are different: there the other user receives the same file. Neither lane gives anyone information identifying you as the source;
You receive no compensation for outputs used in this manner;
You may opt-out of Library Compounding for individual generations at the time of generation by checking the "Do not contribute to library" option (where available);
Filmion operates the shared library at our expense (we pay for the AI classification and storage costs).

6.4A Shared Shots — as-is reuse (IMPORTANT — please read carefully)

(a) What a Shared Shot is. When you ask the AI to make a B-roll shot from a text description only — no uploaded face, product, logo, voice, image or video used as input — the finished clip is a "Shared Shot" unless you keep it private. Filmion stores it in the shared library and other users may place the same file, unchanged, inside their own videos.

(b) Your choice, every time. Next to the Make button there is a "Keep private" switch. Turn it on and the shot stays yours alone. You can set "Keep private" as your default in Settings. You can also withdraw any Shared Shot from future reuse at any time from your library page. Copies that other users have already placed in their videos stay where they are; we cannot pull them back.

(c) The licence you give. For each Shared Shot you grant Filmion and every other Filmion user a worldwide, perpetual, non-exclusive, royalty-free, sublicensable licence to store, copy, distribute, display and use the shot inside videos and projects, for any lawful purpose including commercial use, without credit to you and without payment to you. You waive, to the extent the law allows, any right to be named as the maker. This licence survives your withdrawal under (b) for copies already placed, and survives closure of your account.

(d) What we do before sharing. An automated check rejects shots that show a real or recognisable person (including a face, a well-known figure, or a voice), a logo, a brand name, a trademark, or readable text. Shots that fail stay private to you. We store the clip and a short AI-written description. We never store or show your prompt. Duplicates are merged, each idea is capped at about twenty shots, and shots unused for six months are deleted.

(e) What we never do with Shared Shots. We do not use them to train AI models. We do not sell them as stock, license them outside Filmion, or show who made them. Stock clips from third-party libraries (for example Pexels) are never placed in the shared library.

(f) Copyright. A shot made from text alone may not be protected by copyright in the United States (see 6.3). We make no promise that it is, anywhere. The licence in (c) applies whether or not copyright exists.

(g) When you use someone else's Shared Shot. You may use it only inside a video or project made on Filmion, and only under the AUP. You may not sell or give away the shot on its own, put it in a stock library, present it as a real recording, or use it to suggest a real person or brand endorses anything. Some places require you to tell viewers when an ad uses an AI-made human figure (for example New York and the EU). Shots that contain a synthetic human are labelled so you can add that notice. That duty is yours.

(h) Problems. If a Shared Shot should not be in the library, email abuse@filmion.ai. We remove reported shots from the library and from future exports; see Section 13.4 and the DMCA, NCII and illegal-content notice pages.

6.5 No representation regarding similarity to third-party works. Generative AI may produce output that is similar to, or coincidentally resembles, content created by third parties. You are responsible for evaluating whether Generated Output is suitable for your intended use.

6.6 AI errors and hallucinations. Generative AI may produce inaccurate, misleading, or nonsensical content. The Service is not a substitute for human judgment. You agree to review and verify Generated Output before relying on it for any purpose.

7. Filmion Intellectual Property

7.1 Filmion rights. The Service, including its software, design, user interface, brain prompts, templates, blueprints, technique packs, engine routing logic, and all related intellectual property, is owned by Filmion or its licensors.

7.2 Restrictions. You may not (a) reverse-engineer, decompile, or disassemble any part of the Service; (b) attempt to extract Filmion's brain prompts, templates, blueprints, technique packs, or engine routing logic via prompt injection, model inversion, or any similar technique; (c) scrape, crawl, or systematically download any portion of the Service except via published API endpoints; (d) operate a public-facing AI generation service whose primary functionality is reselling Filmion's API as if it were your own engine; or (e) remove or modify any proprietary notices.

7.2.1 Your outputs are yours

This Section §7.2 restricts extraction of FILMION'S internal materials (prompts, templates, routing logic, infrastructure). It does NOT restrict what you do with Generated Output you have paid to produce. Per Section 6.2 you own your Generated Output and may use it for any purpose, including training your own AI models on it. The distinction is between extracting OUR brain (prohibited) versus using YOUR outputs (your right).

7.3 Feedback license. Any feedback, suggestions, or ideas you provide to Filmion about the Service may be used by Filmion without restriction and without compensation to you.

8. Third-Party Services

8.1 Service composition. The Service incorporates output from third-party AI engines (currently including Anthropic Claude, Google Gemini and Veo, fal.ai routed engines, Black Forest Labs FLUX, ElevenLabs, OpenAI Whisper, and others) and third-party infrastructure providers (including Vercel, Cloudflare R2, Supabase, Stripe, AWS Lambda for Remotion rendering, Sentry, Upstash Redis).

8.2 Third-party terms. Your use of the Service may be subject to additional terms imposed by third-party providers.

8.3 No endorsement. Filmion's use of third-party providers does not constitute endorsement of those providers.

8.4 Connected accounts. On the Clips page you can connect accounts you own. Two kinds: places we read from (Google Drive, Dropbox) and places we post to (YouTube, TikTok, Instagram, Facebook). We only post to the second kind; we never import your videos from them. You connect each one yourself, through that company's own sign-in screen. We never see or store your password for any of them. You can connect more than one account on the same platform, for example two YouTube channels. Each shows as its own account, and every post and every Auto-post setting is for the one account you picked.

8.5 What we take, and for how long. From a reading connection we take only the video you pick and the list you pick it from. The picked video is copied to our video processor so we can cut it; the copy is deleted 72 hours after import, whether or not you made clips. From a posting connection we take your channel or account name, its picture and ID so you can see where a video will go; we refresh or delete that within 30 days. We keep an encrypted access key for each connection so you do not have to sign in every time. That key is stored encrypted, used only for the connection you made it for, and deleted when you disconnect. For videos posted to YouTube, we read each video's view count once a day to show it to you. It comes from YouTube, only you see it, and we keep only the latest number. We delete it when you disconnect YouTube, when YouTube stops returning that video, or if we have not been able to refresh it for 30 days.

8.6 When a video is posted. You can post any finished video you made in Filmion: a clip, a video you exported from Filmion Edit, or a video you made with AI. A video goes to one of your connected accounts only in one of the three ways below, and you start each one.

(a) Post now. You press Post for that video, on the account or accounts you pick.

(b) Schedule. You pick the video, the account, its title, description and who can see it, and a time, then press Schedule. We keep that post and send it at that time, or within a few minutes after. For TikTok, you review the post, its preview and who can see it when you schedule it, and you see TikTok's consent line then.

(c) Auto-post. For a YouTube, Instagram or Facebook account you can turn on Auto-post. It is off until you turn it on. It is set for one account at a time, and turning it on needs its own confirmation. While it is on, every new clip from each clips run you finish is queued for that account. The best clip goes first, 15 minutes after the run ends, then one every 2 hours. Each post uses the settings you chose (who can see it, your description and hashtags) and the clip's title, which our AI writes. We email you when posts are queued. Auto-post only posts new clips; any other video goes only under (a) or (b). TikTok never has Auto-post, because TikTok requires you to review every post yourself.

(d) You stay in control. Every waiting post is in the Calendar. Until it starts sending, you can change its title, description or who can see it, or cancel it. "Pause all posting" stops every waiting post until you resume. Turning Auto-post off cancels every auto post still waiting for that account. Once a post has been sent, you remove it on the platform.

(e) When a post cannot go. A platform can refuse or delay a post. Reasons include YouTube's daily limit for our app, Instagram's limit of 100 posts per account per day through apps, TikTok's own limits, an expired sign-in, or a video that breaks the platform's rules. If that happens, the post is marked Failed in the Calendar and we tell you. We do not promise that any post goes at an exact minute, or at all.

(f) Every post is yours. Every post, including an auto post, goes out from your account on your instruction. You are responsible for it just as if you had pressed Post yourself (Sections 5.4 and 8.8). An auto post uses your settings without asking again, so check them.

(g) Nothing else. We never post, schedule or change anything on your accounts except as you set up under (a) to (c), and we never change who can see a video that is already on your account.

(h) AI labels. When a video was made with AI (a video you generated, or an Edit export that includes AI-made shots, images or voices), we tell TikTok it is AI-generated, so TikTok shows "Creator labeled as AI-generated", and we tell YouTube it contains altered or synthetic content. We do not add these labels to clips cut from your own footage. Instagram and Facebook do not let apps set their AI label: if your video looks real and was made or changed with AI, add their label yourself. You can add a label to any post, and labelling what the platform requires stays your job (Section 8.8).

8.7 Disconnect any time. Clips → Connections → Disconnect deletes our key for that account and, where the platform allows it, tells the platform to revoke it. You can also revoke us from the platform's side: for Google and YouTube at security.google.com/settings/security/permissions; for others in that platform's app settings. When you disconnect or revoke, we delete the data we held from that account within 7 days. Disconnecting an account also cancels every post still waiting for it and deletes its Auto-post setting. Reconnecting does not turn Auto-post back on. If you connect a different account on the same platform, it is added next to the accounts you already have. Posts waiting for one account never move to another: if that account is disconnected, the post is cancelled, not sent somewhere else.

8.8 Their rules still apply. What you import must be yours or something you have the right to use (Section 5.4 applies to imports too). What you post must follow that platform's rules. That includes auto posts, and the platform's rules on labelling realistic AI-made content, paid promotion and content made for children. Filmion uses YouTube API Services; by connecting YouTube you also agree to the YouTube Terms of Service, and Google's Privacy Policy applies to the data Google shares with us. Some platforms limit what an app like ours can do: TikTok posts are private-only until TikTok approves our app; Instagram posting works only on professional (business or creator) accounts; YouTube gives us a daily limit and may set an upload to private until it approves our app. Any platform may cut off an app at any time — if that happens, your videos stay in your library and you can download and post them yourself.

8.9 We are not them. Filmion is not made by, partnered with, or endorsed by Google, YouTube, Dropbox, Meta, Instagram, Facebook or TikTok. Their names and logos appear only to show which account you are connecting.

9. Disclaimers

9.1 AS-IS provision. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND GENERATED OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. FILMION DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

9.2 No guarantee of availability. Filmion does not warrant that the Service will be uninterrupted, error-free, or available at any particular time.

9.3 No guarantee of output quality. Filmion does not warrant that any specific Generated Output will meet your expectations.

9.4 No legal, medical, financial, or professional advice. Generated Output is not a substitute for advice from a qualified professional.

10. Limitation of Liability

10.1 Exclusion of certain damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FILMION AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

10.2 Aggregate liability cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FILMION'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FILMION FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

10.3 Jurisdictional limits. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities. In such jurisdictions, the exclusions and limitations in this Section apply only to the extent permitted by law.

11. Indemnification

11.1 Your indemnification of Filmion. You agree to defend, indemnify, and hold harmless Filmion, its owner, employees, contractors, and agents from and against any claims arising out of or relating to (a) your User Content, (b) your use of Generated Output, (c) your violation of these Terms or the AUP, or (d) your violation of any law or third-party right.

11.2 Filmion's indemnification of you (limited). Filmion will defend you against any claim by an unaffiliated third party alleging that the Service (excluding User Content and Generated Output) infringes a U.S. patent or registered copyright, subject to standard cooperation requirements.

11.3 Exclusions. Filmion has no obligation under Section 11.2 with respect to claims arising from your User Content, Generated Output, your modification of the Service, your use of the Service in combination with other products, or your continued use after Filmion has notified you to stop.

12. Term and Termination

12.1 Term. These Terms apply from the time you first access the Service and continue until terminated.

12.2 Termination by you. You may terminate your account at any time per Section 3.5.

12.3 Termination by Filmion. Filmion may suspend or terminate your account at any time, with or without notice, for a material breach of these Terms or the AUP, failure to pay subscription fees, a determination that your use creates legal, security, or operational risk, or any other reason permitted by law.

12.4 Effect of termination. Upon termination, your right to access the Service ceases immediately. Generated Output incorporated into the Library Compounding shared library under Section 6.4 remains in the library subject to that Section's terms, and Shared Shots under Section 6.4A remain licensed as that Section says.

13. Data Retention

13.1 Active account data. While your account is active, what you upload and what you make stays in your library, up to the 100 GB that comes with the plan. Nothing is deleted on a timer. One exception: a long video you upload to Clips is kept only until its clips are made, then deleted — only the clips stay.

13.2 Post-termination retention. After account termination, Filmion may retain your data for up to ninety (90) days. After this period, your User Content and your private Generated Output will be deleted, except as required by law.

13.3 Backup retention. Backups containing your data may persist in Filmion's storage systems for up to one (1) year after deletion.

13.4 Shared library retention. Reference-lane items (Section 6.4) follow least-recently-served eviction once a per-category cap is reached. Shared Shots (Section 6.4A) are deleted after six months without reuse. You may withdraw a Shared Shot from future reuse on your library page, or request removal of any item by emailing privacy@filmion.ai.

14. Privacy

14.1 Privacy Policy. Filmion's collection, use, and disclosure of personal information is governed by the Filmion Privacy Policy located at filmion.ai/privacy, which is incorporated by reference.

15. Governing Law and Dispute Resolution

15.1 Governing law. These Terms are governed by the laws of the State of Florida, United States, and by U.S. federal law, without regard to conflict of laws rules. If you are a consumer living in the European Union or the United Kingdom, you also keep the protection of the mandatory laws of the country where you live.

15.2 Informal resolution. Before initiating any formal dispute resolution, you agree to first contact Filmion at legal@filmion.ai and to negotiate in good faith for at least thirty (30) days.

15.3 Binding arbitration. Any dispute that cannot be resolved informally will be resolved only by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and its Consumer Minimum Standards. The hearing will be by video, or, if you ask, in person in the county where you live or in Palm Beach County, Florida.

15.4 Class action waiver. YOU AND FILMION EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

15.5 Exceptions to arbitration. Either party may bring an individual action in small-claims court for disputes within the court's jurisdiction, or seek injunctive or equitable relief in court to protect intellectual property rights.

15.6 Opt-out. You may opt out of Sections 15.3 and 15.4 by sending written notice to legal@filmion.ai within thirty (30) days of first accepting these Terms.

15.7 Where claims are heard. Any claim that is not arbitrated will be heard only in the state or federal courts located in Palm Beach County, Florida, and you and Filmion agree to those courts. If you are a consumer in the European Union or the United Kingdom, you may also bring a claim in the courts where you live.

16. General Provisions

16.1 Entire agreement. These Terms, together with the AUP and the Privacy Policy, constitute the entire agreement between you and Filmion.

16.2 Modifications. Filmion may modify these Terms from time to time. Material changes will be communicated by email at least thirty (30) days before they take effect.

16.3 Severability. If any provision is held invalid, the remaining provisions remain in full force.

16.4 No waiver. Filmion's failure to enforce any right or provision shall not constitute a waiver.

16.5 Assignment. You may not assign these Terms without Filmion's prior written consent. We may assign these Terms to a company we form or control to run Filmion (for example, a Florida limited liability company), or as part of a merger or sale. We will tell you by email and on this page.

16.6 Notices. Filmion may provide notices to you by email; you may provide notices to Filmion at legal@filmion.ai.

16.7 Force majeure. Neither party shall be liable for failures caused by circumstances beyond reasonable control.
